These Terms of Service (“Terms”) contain important information about your legal rights, remedies, and obligations. By accessing, browsing, or otherwise using the website, platforms, or any services provided by JOAC_B ECOSYSTEM LIMITED (RC: 8171752), (collectively, the “Site”, “platform” or “Services”), you indicate your full agreement to all the terms and conditions set forth in these Terms. Please read these Terms carefully before proceeding. Do not access or use the Services if you do not agree to be bound by these Terms and conditions.

This document is published in accordance with the applicable laws of the Federal Republic of Nigeria, including those governing the provision of goods, services, and the use of electronic platforms.
The Site, Services, and tools provided by JOAC_B ECOSYSTEM LIMITED (RC: 8171752), a company duly incorporated in Nigeria (collectively referred to as “we,” “us,” ,”JOACB” “JOACB.COM”, “JOAC_B”, “JOAC B ENTERTAINMENT” or “our”) are governed by these Terms. “Users”, “user”, “You” or ““your” refers to any natural or legal person who accesses, uses, participates in, or otherwise engages with the Site, Platform, or Services provided by JOAC_B ECOSYSTEM LIMITED, including by registering as a user, providing registration data, purchasing or receiving Services, attending events, or interacting with any tools, materials, or resources made available by us.
When you use any of the Services provided by us, including but not limited to product and service discovery, purchases, customer reviews, event ticketing, or any transactions on the Site or otherwise (“Transactions”), you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such Services. These shall be deemed incorporated into these Terms and considered an integral part thereof.
These Terms constitute a legally binding electronic contract between you and JOAC_B ECOSYSTEM LIMITED, creating binding obligations on you with respect to the provision of our goods and services.
We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time. Any such updates will be indicated by the “Last Updated” date at the top of this document. It is your responsibility to review these Terms periodically for changes. Your continued access to, browsing of, or use of the Site or Services following the posting of any changes will constitute your acceptance of and agreement to those changes.
The English version of these Terms shall govern all Transactions and your use of the Site and Services. Your access to, use of, or acceptance of these Terms creates a legally binding contract between you and JOAC_B ECOSYSTEM LIMITED (RC: 8171752).
These Terms incorporate by reference our Privacy Policy, Community Guidelines, and any other applicable rules or policies posted on the Site. Failure to comply with these Terms or any incorporated policies may result in the voiding of any ticket, Transaction, or your access to the Services.
As long as you comply with these Terms, JOAC_B ECOSYSTEM LIMITED grants you a personal, non-exclusive, non-transferable, limited privilege to access and use the Site and Services.
What’s What (Definitions & Interpretation)
For the purposes of these Terms, the following definitions apply. These definitions are intended to help you understand and navigate these Terms. Words and phrases used elsewhere in these Terms are interpreted consistently with these definitions unless otherwise explicitly stated.
- Affiliate – An “Affiliate” of any entity means any person or entity that controls, is controlled by, or is under common control with that entity, whether as of the date of your acceptance of these Terms or thereafter. For purposes of this definition, “control” means ownership, directly or indirectly, of more than 20% of the outstanding voting stock of an entity, or otherwise possessing the power to direct the management and policies of an entity.
- Consumers – Individuals who use our Services for any purpose, including but not limited to accessing information, attending events, or utilizing products or services offered via our Platform or our Services.
- Our Properties – All products, features, offerings, or resources provided by us, including:
a. Online resources accessible through our websites or web pages (“Sites”);
b. Off-platform services, including but not limited to event entry management, sponsorship, marketing, or distribution services; and
c. Mobile applications, subdomains, webpages, application programming interfaces (“APIs”), and other digital properties (“Applications”). - Material – Any content or information, including but not limited to data, text, editorial content, design elements, look and feel, formatting, graphics, images, photographs, videos, music, sounds, and other content or materials, whether provided by us or Users.
- Organizer – Any individual, company, or entity that uses our Services to create, manage, or promote events for Consumers.
- Services – Includes all Our Properties and the services offered to Organizers and Consumers, including but not limited to the Organizer Services described in Section 7 (Our Merchant Agreement), event management, ticketing, and related operational services.
- Site Content – Any Material contained in or delivered via the Services or otherwise made available by us in connection with the Services, including but not limited to text, images, videos, or other media.
- Your Content – Any Material that you contribute, provide, post, or make available using the Services, or that you otherwise provide or authorize us to use. This includes content you upload, submit, or share on or through the Platform, our Services, or Our Properties.
- Your Trademarks – Any trademarks, service marks, trade names, logos, or other intellectual property that you contribute, provide, post, or make available using the Services, or that you otherwise authorize us to use.
- Users – All Organizers, Consumers, and third parties who access or use the Services. Collectively referred to in these Terms as “Users,” “you,” or “your.”
- We, Us, Our, Website – Refers to JOAC_B ECOSYSTEM LIMITED and its Affiliates, subsidiaries, officers, directors, agents, partners, and employees.
- Ticket – Any electronic, physical, printed, wristband-based, badge-based, or other access credential that grants entry to an event, service, or product offered via our Platform or Services.
- Force Majeure Event – Any event beyond our reasonable control that prevents or delays the performance of our obligations, including but not limited to acts of God, natural disasters, pandemics, labor disputes, government actions, or telecommunications failures.
- Organizer Services – The suite of tools, features, and support offered to Organizers through the Platform or Services to create, manage, sell tickets for, and operate events.
- Platform – Refers collectively to our online and offline properties, including Sites, Applications, Services, and any tools, systems, or resources used to deliver Services to Users.
- Chargeback – the reversal of a payment transaction initiated by the issuing bank, card network, or payment processor following a dispute, claim, or authorization request by the cardholder, resulting in the debit or recovery of the transaction amount from the merchant or platform.
- Perishable Goods – Goods that are subject to rapid deterioration, spoilage, or limited usability within a short period of time due to their nature.
- Non-Perishable Goods – Goods that are not subject to rapid deterioration and remain usable for an extended period under normal storage conditions.
- Proof of Purchase – Valid documentation evidencing completion of a transaction, including but not limited to receipts, invoices, transaction confirmations, or payment records issued through the Platform.
- Supporting Evidence – Any documentation, record, or material reasonably required to substantiate a claim, request, or entitlement under these Terms.
Your Authority
If you use our Services on behalf of any entity, including but not limited to your employer, company, or organization, you represent and warrant that you have the legal authority to bind that entity and its Affiliates to these Terms. By using our Services in this capacity, you agree that both you and the entity you represent are bound by these Terms as if each had agreed individually.
In such cases, references to “you” or “your” in these Terms shall apply to both you personally and the entity on whose behalf you are acting. You further acknowledge and agree that any actions, representations, or commitments made by you in connection with our Services will be deemed to have been made on behalf of the entity, and the entity will be responsible for compliance with all obligations under these Terms.
You also agree to inform the entity of these Terms and ensure that its use of our Services complies with them. Failure to have the authority to bind the entity may result in suspension, termination, or other remedies at our discretion, and you may be personally liable for any resulting damages or losses.
By accepting and using our Platform, you confirm that doing so does not breach any applicable laws in Nigeria or any agreement, contract, or obligation that binds you.
Membership Eligibility & Age Restrictions
Membership registration, ticket purchases, and use of our Services through our Platform are available only to individuals who are legally capable of entering into binding contracts under the laws of the Federal Republic of Nigeria. Persons under the age of eighteen (18) years (“Minors”) are not permitted to create an account, purchase tickets, or otherwise use our Services or Platform unless acting through and under the direct supervision of a parent or legal guardian who is legally competent to contract.
Any use of our Services or Platform by a Minor constitutes a representation that the Minor’s parent or legal guardian has reviewed, understood, and consented to these Terms and Conditions and accepts responsibility for the Minor’s use of our Services and attendance at any event. The parent or legal guardian is solely responsible for ensuring that the Minor complies with all Nigerian laws, stated age restrictions, and event rules.
We are committed to the protection of children and do not knowingly target or market our Services directly to Minors. Our Services, delivered through the Platform, are intended for use by individuals who have attained the legal age of majority, except where access is expressly permitted by an event organizer and is subject to parental or guardian supervision in accordance with these Terms.
Event organizers are responsible for determining, setting, and clearly disclosing applicable age restrictions for their events, including classifications such as “All Ages,” “16+,” or “18+,” in compliance with all Nigerian laws and regulations. Event organizers are also responsible for enforcing such age restrictions at the event venue, including conducting reasonable age-verification checks where required by law and denying entry to individuals who do not meet the stated requirements.
We operate as a ticket listing and distribution Service made available through our Platform and do not conduct on-site age verification or identity checks. Nothing in these Terms excludes or limits any consumer rights or remedies available under the Federal Competition and Consumer Protection Act, 2018. However, to the fullest extent permitted by law, we shall not be liable for any loss, damage, or dispute arising from an event organizer’s failure to enforce age restrictions, a parent or guardian’s failure to supervise a Minor, or the provision of inaccurate age-related information by users.
Where an account, access to, or use of our Services through our Platform is obtained in violation of this section, we may take reasonable and proportionate action, including suspension or termination of the account, restriction of access, or cancellation of any Services provided (including but not limited to tickets), subject to any applicable refund rights under Nigerian consumer protection laws.
Our Platform
For the purposes of these Terms and Conditions, “our Platform” refers to any website, mobile application, software, digital interface, or other electronic service provided, operated, or made accessible by us for the purpose of accessing, coordinating, or managing our Services. This includes all functionality, tools, features, and content made available by us directly or through our authorized third-party partners.
All references to the Platform in these Terms encompass every method by which Users access our Services, whether online, offline, or through integrated or third-party systems. Users acknowledge and agree that certain Services may be delivered through multiple channels within the Platform, and that access, availability, or functionality may vary depending on the method of access.
We reserve the right to modify, update, suspend, or discontinue any part of the Platform at our discretion, including but not limited to functionality, content, or features, without prior notice. Users are responsible for ensuring they understand how to access and use the Platform in accordance with these Terms and any additional guidelines or instructions provided.
Interpretation of Platform References
For the purposes of these Terms, any reference to the use of our Services through our Platform shall be interpreted to include the use of our Services regardless of how they are accessed or delivered. This includes, but is not limited to, access through our Platform, provision directly by us in person, offline delivery, remote delivery, or provision through third-party partners.
Users acknowledge and agree that references to the Platform in these Terms are not limited to online or digital access alone. The rights, obligations, and responsibilities set forth in these Terms apply equally to Services accessed or delivered by any lawful method.
Unless expressly stated otherwise in these Terms, all provisions, requirements, and limitations that apply to Services delivered via the Platform also apply to Services delivered outside the Platform or through third-party partners. This ensures that all users are bound by the same rules and protections regardless of the delivery channel.
Provision of Services
Our Services may be provided through our Platform or independently of the Platform, including in person, offline, remotely, through third-party partners, or by any other lawful means. Users acknowledge and agree that references in these Terms to the use of our Services apply regardless of the method by which the Services are accessed, delivered, or facilitated.
Whether accessed through our Platform or delivered by other lawful means, all obligations, rights, and responsibilities under these Terms apply equally. Users understand that the method of delivery may vary depending on the type of Service, the location, third-party involvement, or other practical considerations, and that such variation does not limit the applicability or enforceability of these Terms.
Nothing in these Terms limits the provision of our Services to online or Platform-based delivery. We retain the right to provide Services using any lawful method deemed necessary to fulfill our obligations and meet the needs of Users. Users are responsible for complying with any instructions or guidelines associated with the delivery method of the Services they access.
Our Services
When these Terms refer to “our Services,” “services,” or “service,” it means all event, entertainment, and related services provided by us, either directly, through our Platform, or through third-party partners. Our Services include planning, strategy, logistics, scheduling, coordination, and consultation; management and organization, including staffing, vendor liaison, and operational oversight; publicity and marketing, including advertising, promotion, social media management, and public relations; security and safety, including crowd management, risk assessment, safety protocols, and coordination of security personnel; curation, design, and decoration, including aesthetic planning, theme curation, décor, stage setup, and ambiance creation; ticketing services, including ticket listing, sales, distribution, access control, ticket checking, and overall ticket management; as well as all other services necessary for the proper planning, management, execution, or delivery of events or entertainment experiences.
Our Services may be delivered through our Platform, including websites, mobile applications, or other digital interfaces, as well as offline or through other channels authorized or facilitated by us, including physical locations or third-party venues. Users acknowledge that some Services may require interaction with third-party providers or venues, and that delivery methods may vary depending on the type of Service or event.
While we make reasonable efforts to provide Services as described, technical limitations, venue restrictions, third-party performance, user-supplied information, or other factors beyond our control may affect delivery, and we shall not be liable for losses arising from such circumstances. All Services are provided in compliance with applicable Nigerian laws, including the Federal Competition and Consumer Protection Act, 2018.
References to “our Services” anywhere in these Terms, including, but not limited to, eligibility, membership, ticketing, cancellations, refunds, and age restrictions, encompass all Services described above. Nothing in these Terms limits the Services to the examples listed, as the list is illustrative and not exhaustive.
User Accounts & Registration Obligations
By creating an account and registering to use our Services through our Platform, you agree to maintain the confidentiality of your account credentials, including your username, password, and any other security information. You accept full responsibility for all activities and transactions conducted through your account.
You must provide accurate, complete, and up-to-date information during registration and throughout your use of the Services, and you must promptly update your account information as necessary to ensure its accuracy. Failure to provide true or complete information, or failure to update your account details as required, may result in the suspension, restriction, or termination of your account.
You are also responsible for any sub-users, representatives, or individuals to whom you grant access to your account, and you must immediately notify us of any unauthorized use, security breach, or suspected compromise of your account credentials.
Communications & Notifications
By using our Services and registering an account through our Platform, you consent to receive communications from us in electronic form, including emails, notifications, and postings on the Services, as well as in physical form, including letters, fliers, or other printed notices. These communications may include account updates, changes to these Terms, promotional information, service announcements, or other notices related to your use of the Services.
You agree that all communications, whether electronic or physical, satisfy any legal requirements that such communications be in writing. By consenting to receive communications, you also agree that we may rely on such communications as legally valid and binding, and that you are responsible for maintaining access to your email account, mailing address, or other contact information provided to us to receive these communications.
Charges and / or Fees
By using our Services through our Platform, you agree to pay all charges and fees associated with your use of the Services. While membership may initially be free, we reserve the right to introduce, modify, vary, or increase any fees, charges, or pricing structure at any time for certain Services, features, or access, and such fees will be communicated to you in a minimum of five (7) business days.
All fees are stated and payable in Nigerian Naira, and you agree to comply with all Nigerian laws and regulations regarding payment. The fees you pay may include, but are not limited to, system fees, service fees, processing fees, facility fees, taxes, or any additional charges required by law.
Certain Services provided in partnership with third parties may carry additional fees, which will be clearly disclosed before your use of such Services. For ticketing or event related transactions, fees may either be passed on to you or absorbed by us, depending on the event and the terms disclosed at the time of purchase.
All charges and fees Except as required by law are non-refundable and will not form part of refund granted to you these may include, but not limited to Fee charged for processing an original transaction.
Payments & Billing
Membership on our Platform and access to certain features of our Services may be free of charge or subject to fees, subscriptions, or other charges, as determined by us from time to time. All fees, charges, or payments are denominated in Nigerian Naira (₦) unless explicitly stated otherwise.
You are solely responsible for all issues arising from payment transactions, including but not limited to insufficient funds, unauthorized transactions, exceeding bank-imposed limits, or errors caused by your financial institution or payment provider. Payments made through our Platform or Services validate and confirm your orders, and we shall not be liable for any loss, delay, or failure arising from payment processing issues outside our control.
For ticket deliveries or any other services that require delivery, additional charges may apply for re-delivery if the recipient is unavailable or if the delivery cannot be completed due to incorrect contact or address information. Such charges shall be your responsibility, and we shall not be liable for any related losses.
Refunds, where applicable, may be processed via store credit, vouchers, or bank transfers, depending on the original payment method and the policies of the relevant event organizer or service provider. Ticket pricing is subject to change at any time prior to confirmation of booking, and the price for your ticket or service is fixed only upon successful completion of your order. Retrospective discounts, promotional adjustments, or price changes shall not apply to completed transactions, and failure to comply with payment requirements may result in cancellation or voiding of the transaction.
Physical ticket collection, where applicable, shall be handled directly by the event owner, organizer, or merchant. All payments include applicable booking fees, which shall be refunded only if the relevant event is canceled in accordance with the organizer’s policies or as required by Nigerian law.
Payments may be made either upfront or during the course of the service or event experience. We or our affiliates may act as the merchant of record, facilitating payment processing on behalf of the event organizer or service provider. All service fees, platform usage fees, taxes, and other charges shall be clearly displayed to you at the time of payment. Fees for listing events or selling tickets may be passed on to consumers or absorbed by us or the organizer, at our discretion.
We act solely as a payment intermediary and facilitator. The contractual relationship for the purchase of tickets or services remains between you, as the attendee, and the relevant event organizer or service provider. Processing fees, taxes, or other charges imposed by financial institutions or payment providers are beyond our control and shall not be considered a liability of ours.
Tickets may be transferred or reassigned only in accordance with the rules of the event organizer, and it is your responsibility to ensure that such transfers are valid and recognized by the organizer.
Ticket Purchases & Sales Conditions
All tickets issued, sold, distributed, or otherwise made available in connection with any event, product, or offering may be obtained through our Platform, our Services (as defined in the Our Services section of these Terms), or through other physical, digital, or third-party channels operated, managed, or expressly authorized by us. These Terms apply to all such tickets and related transactions, regardless of the channel through which they are obtained.
All tickets are issued subject to these Terms and any additional policies, rules, or conditions imposed by the relevant event organizer, service provider, or product owner. By purchasing, receiving, possessing, or using a ticket in connection with our Platform or our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as any applicable organizer-specific terms governing the relevant event or service.
To obtain a ticket or access our Services, you may be required to provide accurate, current, and complete personal information, which may include, but is not limited to, your full name, mobile phone number, email address, and other identifying, contact, or transactional details as may be reasonably required. By providing such information, you expressly consent to receiving transactional, operational, and service-related communications from us and/or the relevant organizer via SMS, email, phone calls, or other electronic means. All personal data is collected and processed in accordance with our Privacy Policy.
A valid ticket or access credential whether electronic, physical, printed, wristband-based, badge-based, or otherwise issued is required for entry, participation, or access to the relevant event, product, or service. Failure to present a valid ticket or access credential may result in denial of entry or service, and no refund, replacement, or compensation shall be provided in such circumstances.
All ticket purchases are final. Tickets are non-refundable, non-exchangeable, and non-transferable unless expressly stated otherwise by us, the relevant organizer, or as required by Nigerian law. Tickets and access credentials must be safeguarded at all times, as lost, stolen, damaged, duplicated, altered, or unauthorized tickets may be invalidated and may not be replaced.
In the event of cancellation, postponement, rescheduling, or material alteration of an event or service, any refund, credit, rollover, or other remedy shall be determined solely in accordance with the relevant organizer’s stated policy or as required by Nigerian law. We do not guarantee refunds or compensation unless expressly stated in writing.
Where tickets or services are sold, distributed, or redeemed through third-party platforms or channels, purchase, receipt, possession, or use of the ticket shall constitute deemed acceptance of these Terms, notwithstanding that the transaction occurred outside our Platform.
Where an event or service is organized, promoted, or delivered by a Third-Party, such organizer or service provider retains primary responsibility for event-specific rules, scheduling, performance, access conditions, safety measures, and fulfillment. Our role in any transaction or event shall be limited to that expressly agreed in writing, and we shall not be deemed a principal, promoter, or guarantor of any event or service unless expressly stated otherwise. To the maximum extent permitted by Nigerian law, we do not guarantee the occurrence, quality, outcome, or experience of any event or service.
Ticket Delivery & Entry
Tickets purchased through our Platform, our Services, or other authorized channels may be delivered electronically (e.g., email, PDF, QR code) or physically (e.g., printed, mailed, or via authorized delivery partners) to the address or contact details provided by you at the time of purchase. Once the delivery process has been initiated, no changes to the delivery address, email, or other contact information will be accepted. You are responsible for providing accurate and complete delivery information.
For physical ticket deliveries via authorized partners, delivery personnel will wait for a maximum of fifteen (15) minutes at the designated delivery location. If the delivery is unsuccessful due to your absence, refusal, or incorrect address, a re-delivery may be arranged at your expense, and you shall bear any associated fees. We shall not be liable for delays or failures caused by incorrect delivery information provided by you.
Tickets must be presented for admission or participation at the designated event, product, or service venue at or after the scheduled start time. Entry before the stated start time may be denied. A valid ticket, whether digital or physical, is required for entry, participation, or access. Lost, stolen, damaged, duplicated, or unauthorized tickets may be rendered invalid, and replacement or compensation is subject to the policies of the event organizer or service provider.
Tickets may only be transferred or reassigned in accordance with the organizer’s rules. Any transfers or changes to ticket ownership must be verified with the relevant organizer to ensure the ticket remains valid for entry. Unauthorized transfers or use of tickets may result in denial of entry, and we shall not be liable for any loss or damage arising from such incidents.
Refunds, Cancellations & Exchanges
Refunds, cancellations, and exchanges for purchases made through our Platform or our Services are subject to the terms outlined below and the policies of the relevant event organizer, service provider, or seller. By completing a purchase, you acknowledge that you have read, understood, and agreed to these terms.
- Refund Eligibility for Products and Tickets
For perishable goods, refunds are eligible only if requested within twelve (12) hours of purchase, and for non-perishable goods, within twenty-four (24) hours, provided that proof of purchase and applicable evidence is submitted. Ticket purchases may be eligible for refunds if requested up to seventy-two (72) hours prior to the scheduled event, excluding applicable fees deducted as displayed at the time of purchase. Except otherwise stated Tickets are strictly non-refundable and non-exchangeable within seventy-two (72) hours of the event, and no refunds will be provided for lost, stolen, or destroyed tickets. Refunds are only granted at the discretion of the organizer, unless otherwise required by applicable Nigerian law. - Refunds Due to Delivery or Non-Performance
Refunds may be issued for digital or perishable products if delivery fails. For other products or services, refunds will be processed according to the seller’s or organizer’s terms and policies. Orders confirmed via email must be delivered to the address provided at the time of purchase, and addresses cannot be changed once processing has begun. - Event Cancellations, Postponements, and Force Majeure
In the event an event is canceled, a full refund of the ticket price, excluding any fees or charges as stated in the “Charges and / or Fees”, will be issued to the purchaser. We do not accept liability for any travel, accommodation, or other costs incurred as a result of a canceled or postponed event. No refunds will be provided for changes to event programs, support acts, or seating arrangements; however, alternative seating or arrangements may be offered at the discretion of the organizer. Refunds for events postponed due to a Force Majeure Event will be subject to the organizer’s policies. - Cancellations, Breach, and No-Shows
Cancellations arising from your breach of these Terms or failure to comply with event rules may result in blocked access, suspension, or termination of your account. No refunds will be issued for no-shows, failure to meet age or entry requirements, or failure to comply with event or organizer rules. - Refund Processing and Dispute Resolution
Refunds will be processed in accordance with the organizer’s or seller’s policy, which will be displayed prior to purchase. Consumers seeking a refund or exchange must contact the organizer or seller directly, as we act only as a facilitator and are not liable for organizer cancellations, refunds, or exchanges. Disputes may be addressed through our customer support channels, and mass claims may be subject to batch arbitration, with an option to opt-out within thirty (30) days of purchase. - Ticket Transfers
Ticket transfers or reassignment are possible only through the event organizer, and any violations of transfer policies may result in account termination or voiding of the ticket. - Updates to Policies
All purchases made after updates to these Terms or the organizer’s policies will be governed by the updated Terms. Purchases made prior to the update will remain subject to the terms in effect at the time of purchase, except where Nigerian law requires otherwise.
Chargebacks and Settlements
Chargeback Liability
An issuing bank, card network, or payment processor may initiate a chargeback in respect of a transaction. We reserve the right to deduct or recover the amount of any such chargeback from the Organizer’s balance, including reversing any funds previously remitted to the Organizer.
Chargeback Repayment
Where a chargeback arises after funds have been settled to the Organizer, the Organizer shall be responsible for reimbursing the full amount of the chargeback within thirty (30) days of receiving written notice or invoice from us. Failure to make payment within this period may result in suspension or termination of this Agreement and/or withholding of future settlements.
Liability Waiver
We are under no obligation to challenge, dispute, or investigate the validity of any chargeback imposed by an issuing bank, card network, or payment processor.
Liability Hold
We reserve the right to retain a reserve of up to five percent (5%) of total sales proceeds for a period of up to ninety (90) days following the event date for the purpose of covering potential chargebacks, disputes, or related liabilities.
Event Changes & Cancellations
Responsibility for the organization, scheduling, delivery, and execution of any event, product, or service rests solely with the relevant event organizer, service provider, or owner. Such organizer or provider is responsible for complying with all applicable laws of the Federal Republic of Nigeria, regulations, and contractual obligations relating to the event or service.
The event organizer or owner reserves the right, at its discretion, to make changes to the event program, content, lineup, venue, speakers, performers, services, or any other aspect of the event, with or without prior notice, provided that such changes do not materially alter the nature of the event as a whole.
Event dates and times are provided for convenience only and may be subject to change. You are responsible for checking and confirming the correct date, time, and location of an event prior to attendance. All advertised times are approximate, and delays or rescheduling may occur.
Event organizers or service providers reserve the right to substitute or change performers, speakers, vendors, or service providers where necessary. In the event that an event is canceled and not rescheduled, any refund, credit, or other remedy shall be determined in accordance with the relevant organizer’s stated policy or as required by Nigerian law.
To the maximum extent permitted by Nigerian law, we shall not be liable for any changes, postponements, substitutions, or cancellations of events or services. Any claims, disputes, or liabilities arising from such changes or cancellations shall be the sole responsibility of the relevant event organizer or service provider.
Ticket Resale & Anti-Fraud
All tickets purchased or obtained through our Platform or Services are intended solely for the personal use of the buyer and are subject to the terms and conditions set by the event organizer. Unauthorized resale, duplication, or transfer of tickets without the organizer’s consent is strictly prohibited.
We reserve the right to cancel, invalidate, or refuse entry to any ticket that is found to have been fraudulently acquired, duplicated, resold in violation of these Terms, or otherwise used in a manner inconsistent with their intended purpose. Buyers are responsible for safeguarding their tickets, whether digital, physical, or otherwise issued.
Any attempts to circumvent our ticketing controls, including but not limited to unauthorized resale platforms, scalping, or the use of counterfeit tickets, may result in legal action, account termination, or exclusion from future events. We may cooperate with law enforcement or event organizers to investigate and prosecute fraudulent activities.
Tickets may only be legitimately transferred or resold through channels expressly authorized by the organizer or us. Users are responsible for verifying the legitimacy and validity of any tickets purchased or transferred through third-party sources. We disclaim all liability for tickets obtained outside authorized channels.
Use of Website / Platform (Permitted & Prohibited Conduct)
By accessing or using our Platform and the Services provided through it, you agree to use the Platform solely for its intended purpose and in compliance with all Nigerian laws and regulations. You must not engage in any activity that constitutes spam, infringement of intellectual property rights, harm to others, automated excessive access, or any unlawful or unauthorized use of the Platform.
You may not upload, post, or transmit content that is obscene, offensive, defamatory, or otherwise violates community standards or our community guidelines. You are prohibited from attempting unauthorized access to the Platform, its servers, or any user accounts, including but not limited to hacking, overloading, or otherwise interfering with the proper functioning of the Platform.
Tickets obtained through the Platform are considered equivalent to cash and must not be copied, altered, transferred, or used in violation of their terms. Unauthorized recording, photography, or distribution of event content is strictly prohibited. You must not engage in scraping, deep-linking, or any automated extraction of Platform content for commercial or unauthorized purposes.
All use of the Platform must be lawful, free from fraud, interference, or nuisance, and must comply with our posted community guidelines. Any misuse, unauthorized activity, or violation of these rules may result in suspension, restriction, or termination of your account, as well as other legal remedies available under applicable Nigerian law.
To the full extent of the laws of the Federal Republic of Nigeria, we reserve the right to access, monitor, record, and archive your use of the Platform. By using the Platform, you consent to such activities for purposes including maintaining service quality, evaluating performance, ensuring security, verifying compliance with our governing terms and policies, or for any other lawful reason.
You agree that our monitoring or enforcement decisions will not give rise to any claim against us, and we shall not be liable for any loss or damage arising from such activities.
Content Standards & User-Generated Content
By using our Services and our Platform, you agree that any content you upload, post, or transmit (“User Content”) must not be obscene, offensive, harmful, defamatory, or infringe on the rights of others, including intellectual property rights. User Content must also be free of viruses, malware, or any code intended to disrupt or harm the Platform, its users, or third-party systems.
You represent and warrant that any User Content you provide is accurate, truthful, and complies with all applicable guidelines, rules, and community standards established by us. You grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, modify, publicly display, and otherwise exploit your User Content in connection with the operation, promotion, and improvement of the Services and Platform.
Ownership of User Content remains with you, but you acknowledge and agree that the license granted to us allows us to provide and improve our Services and deliver them to other users. You also agree that we may remove or restrict access to any User Content that violates these Terms or Nigerian law, without prior notice, and without liability to you.
Feedback & Reviews
By submitting feedback, comments, ratings, or reviews (“Reviews”) through our Platform or our Services, you grant us a worldwide, royalty-free, perpetual, irrevocable, and non-exclusive license to use, reproduce, display, distribute, adapt, modify, and publish your Reviews in connection with the Platform, our Services, or any marketing, promotional, or operational purposes.
You represent and warrant that any Reviews you submit are truthful, accurate, and based on your own experience. You agree not to submit content that is false, misleading, defamatory, offensive, obscene, infringing, or otherwise unlawful. Reviews are your responsibility, and you retain ownership of your content, but you grant us the rights to use it as described above.
All Reviews are subject to our Platform policies and guidelines, including moderation, removal, or editing in accordance with those policies. Reviews submitted to the Platform are not confidential, and you acknowledge that by submitting a Review, you waive any expectation of privacy regarding its content.
We reserve the right to remove or refuse any Review for any reason, including if it violates these Terms, applicable laws in the Federal Republic of Nigeria, or our policies, without prior notice or liability.
Intellectual Property Rights

This includes, without limitation, the use of User Content in artificial intelligence systems, machine learning models, or other automated technologies for analysis or enhancement of the Services.
All feedback, suggestions, ideas, or recommendations provided by you regarding the Platform or Services (“Feedback”) are the sole property of the Company, and you hereby grant the Company a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, incorporate, and commercialize such Feedback without restriction or compensation to you.
Nothing in these Terms transfers ownership of any Platform Content or User Content to you, and all rights not expressly granted to you herein are reserved by the Company or its licensors. We do not warrant that the Platform or Services will be uninterrupted, timely, secure, error-free, or free from viruses, malware, or other harmful components, nor do we warrant that defects will be corrected. Access to the Platform or delivery of Services may be suspended, restricted, or modified from time to time due to maintenance, technical issues, operational requirements, or circumstances beyond our reasonable control.
Information relating to events, entertainment experiences, schedules, performers, venues, pricing, or availability may be provided by event organizers or third parties. We do not guarantee the accuracy or completeness of such information and shall not be responsible for any reliance placed on it by users.
Where events, entertainment experiences, or related services are organized, promoted, managed, or delivered by third-party event organizers, venues, performers, or vendors, such parties are solely responsible for the quality, safety, legality, and delivery of their events or services. We do not provide any warranty or guarantee regarding the occurrence, timing, quality, safety, or suitability of any event, nor do we assume responsibility for cancellations, postponements, changes, substitutions, or failures to perform.
You acknowledge that any bookings, ticket purchases, registrations, or other transactions made in connection with our Services are undertaken at your own discretion and risk. We shall not be liable for losses arising from errors, omissions, or inaccuracies in information provided by you, event organizers, or third parties, including mistakes in booking details or event descriptions.
Attendance at events and participation in entertainment activities involve inherent risks. To the fullest extent permitted by law, you voluntarily assume all risks associated with attendance or participation, including risks of personal injury, illness, property loss, or other harm, except to the extent directly caused by our proven negligence or willful misconduct.
Nothing in these Terms excludes or limits any consumer rights or remedies that cannot be excluded or limited under applicable Nigerian law, including the Federal Competition and Consumer Protection Act, 2018.
Limitation of Liability

We are not responsible for any errors in bookings, tickets, or other arrangements made by you, and any failure to verify details is solely your responsibility.
You agree that we are not liable for invalid, lost, stolen, counterfeit, or unauthorized tickets, nor for changes, postponements, cancellations, substitutions, or modifications to events, including alterations to supporting acts or performers. Event organizers retain the right to refuse entry or eject attendees without refund in accordance with their rules, and we shall not be responsible for any consequences arising from such actions.
To the fullest extent permitted by law, we disclaim liability for indirect, special, consequential, or punitive damages, including loss of income, business, goodwill, or opportunity, and for damages arising from events beyond our reasonable control, including force majeure events, third-party failures, or unforeseen circumstances.
Our aggregate liability for any claims arising in connection with the Services, Platform, or events shall not exceed the total fees paid by you for the relevant Services in the three (3) months immediately preceding the claim, or NGN 10,000, whichever is lower. Service providers, event organizers, or other third parties delivering events or experiences remain solely responsible for the quality, safety, and execution of such events.
You agree to indemnify, defend, and hold harmless us, our affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your breach of these Terms, violation of Nigerian laws or rights of third parties, use of the Services in an unauthorized manner, or participation in events. You acknowledge and accept that attendance at events involves inherent risks, including personal injury or death, and you voluntarily assume such risks.
Nothing in this section or these Terms excludes or limits any rights or remedies available under applicable Nigerian law, including the Federal Competition and Consumer Protection Act, 2018.
Limitation of Claims
Any cause of action or claim you may have arising out of or relating to these Terms, our Platform, or our Services must be commenced within one (1) year after the cause of action accrues. If a claim is not brought within this period, it is permanently barred. This limitation does not affect any rights that cannot legally be waived under Nigerian law.
Indemnification
You agree to indemnify, defend, and hold harmless our company, its affiliates, subsidiaries, officers, directors, employees, agents, and partners from and against any and all claims, demands, actions, damages, liabilities, losses, costs, or expenses, including reasonable legal fees, arising out of or in connection with your use of our Services or Platform, your violation of these Terms, or your breach of any Nigerian law, regulation, or third-party right.
This indemnification obligation includes, without limitation, claims resulting from: any user-generated content you submit, post, or transmit; any actions or omissions in connection with events, tickets, or bookings; any fraudulent, negligent, or unauthorized use of the Platform or Services; and any violation of intellectual property rights, privacy rights, or other legal or contractual obligations.
You further agree that this indemnity applies to any claims brought against us arising from your acts, omissions, or conduct in relation to attendance at or participation in events, including any claims related to property damage, personal injury, or other liabilities, to the fullest extent permitted by Nigerian law.
Nothing in this section limits any other remedies available to us under these Terms or Nigerian law.
Force Majeure
We shall not be held liable or responsible for any failure or delay in performing our obligations under these Terms or providing any event, service, or product through our Platform or our Services if such failure or delay is caused, directly or indirectly, by events beyond our reasonable control (“Force Majeure Event”).
Force Majeure Events may include, without limitation, acts of God, natural disasters, fires, floods, storms, epidemics, pandemics, government actions, strikes, labor disputes, civil unrest, power outages, internet or telecommunication failures, or any other event that could not reasonably have been anticipated or prevented under Nigerian law.
In the event of a Force Majeure Event, we may, at our sole discretion, suspend, postpone, or cancel events, services, or other obligations without liability. We shall make reasonable efforts to inform affected users of any material changes, delays, or cancellations caused by a Force Majeure Event.
You acknowledge and agree that your rights to refunds, rescheduling, or compensation in the event of a Force Majeure Event shall be governed by the relevant event organizer’s or service provider’s policies, and we shall not be held liable for any resulting losses, damages, or inconveniences, except as required under applicable Nigerian law
Termination of Service and / or Account
We reserve the right to suspend or terminate your access to our Platform or Services at our sole discretion if you violate these Terms, provide inaccurate, incomplete, or misleading information, or otherwise engage in conduct that we reasonably determine to be improper, unlawful, or harmful to the Platform, our Services, other users, or third parties.
You agree that we may limit, suspend, or end your access to the Platform, in whole or in part, at any time and for any reason, including violations of these terms, with or without prior notice.
We may also comply with law enforcement or court orders requiring us to reveal the identity of users who share content that may breach these terms.
Suspension may be temporary, and your account may be reinstated at our discretion if the underlying issues are resolved to our satisfaction. Termination may be permanent, and any account or access rights may be voided if you fail to comply with these Terms, breach Nigerian laws, or otherwise engage in prohibited activities.
You have the right to stop using and withdraw from the Platform at any time.
Termination or suspension of your account does not affect the survival of provisions in these Terms that, by their nature, are intended to remain in effect after account closure, including but not limited to indemnification, intellectual property, disclaimers, limitations of liability, and dispute resolution clauses.
EXPORT CONTROLS & RESTRICTED COUNTRIES
You represent, warrant, and covenant that you are not located in, ordinarily resident in, incorporated under the laws of, or otherwise subject to the jurisdiction or control of any country, territory, government, entity, or individual that is subject to comprehensive trade sanctions, export controls, or embargoes imposed by the Federal Republic of Nigeria, or any other applicable governmental or regulatory authority.
You further represent and warrant that you are not listed on, owned or controlled by, or acting on behalf of any individual or entity designated on any applicable sanctions, restricted party, denied persons, or similar watch lists maintained by the authorities referenced above.
You agree that you shall not, directly or indirectly, use, access, export, re-export, transfer, transmit, disclose, or make available the Platform, Services, tickets, data, software, technology, or any related materials in violation of any applicable export control laws, economic sanctions, or trade restriction regulations. This prohibition applies regardless of whether such access or transfer occurs physically, electronically, digitally, or through any intermediary, proxy, or Third-Party.
You acknowledge and agree that access to the Platform or Services from restricted jurisdictions, or by restricted persons, is expressly prohibited. We do not guarantee that the Platform or Services are appropriate, available, or lawful for use in all locations, and access from prohibited territories is undertaken at your own risk and in violation of these Terms.
We reserve the right, at any time and without prior notice, to monitor, restrict, suspend, refuse, or terminate your access to the Platform or Services, cancel transactions, or withhold delivery of tickets or services where we reasonably determine that such access or use may result in a violation of applicable export control or sanctions laws. Such actions may be taken without liability to you and without prejudice to any other rights or remedies available to us at law or in equity.
You agree to indemnify and hold us harmless from and against any losses, liabilities, penalties, fines, damages, costs, or expenses (including reasonable legal fees) arising out of or related to your breach of this clause or any violation of applicable export control or sanctions laws.
This clause shall survive the suspension or termination of your access to the Platform, the completion or cancellation of any transaction, and the termination of these Terms for any reason.
CHILD SEXUAL ABUSE AND NON-CONSENSUAL SEXUAL ACTS
We strictly prohibit any content, activity, behavior, or use of our Platform that involves, depicts, promotes, facilitates, or attempts to normalize child sexual abuse, sexual exploitation of minors, or any form of non-consensual sexual conduct. This prohibition applies regardless of intent, context, format, or medium, including text, images, audio, video, live interactions, or links to external content.
Any user found to be engaging in, encouraging, attempting, or assisting such conduct will have their access to our Platform immediately terminated without notice. We reserve the right to remove offending content, suspend or permanently ban accounts, report relevant information to law enforcement or regulatory authorities, and cooperate fully with investigations, as required or permitted by applicable law.
User Complaints & Escalation Process
user may submit complaints regarding our Platform, Services, or events through our official contact channels, including email, phone, postal address, or verified social media accounts. Complaints should include complete and accurate details, such as booking references and supporting documentation.
We will acknowledge and make reasonable efforts to resolve complaints promptly. If a complaint cannot be resolved directly with us, it may be escalated to the relevant event organizer, service provider, or vendor. We act as a facilitator and will assist where reasonably possible.
Unresolved complaints may be addressed through legal remedies under Nigerian law, including the Federal Competition and Consumer Protection Act, 2018, mediation, arbitration, or court proceedings. This clause does not limit your statutory consumer rights.
Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with your use of our Platform, Services, or any other interaction with JOAC_B ECOSYSTEM LIMITED, including the formation, validity, interpretation, performance, or termination of these Terms, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
You agree that any disputes, claims, or proceedings arising out of or relating to these Terms or your use of our Platform or Services shall be resolved by mutual consultation between You and us only and if after 29 days of taking steps the dispute has not been resolved then the dispute shall be resolved by arbitration in accordance with the relevant Nigerian law, both parties must jointly appoint an arbitrator within 12 (twelve) days if this cannot be decided, any of both parties may apply to the Chairman of the Chartered Institute of Arbitrators, UK (Nigeria Branch) to appoint an arbitrator. The location of Arbitration shall be in Enugu state, Nigeria and the language for the proceedings shall be in English Language. Any arbitral decision issued shall be conclusive and binding on the parties, and a court with proper jurisdiction may enter judgment based on that decision. However, notwithstanding the foregoing, you acknowledge and agree that we retain the sole and exclusive discretion to commence legal proceedings in respect of any Dispute before any court of competent jurisdiction in Nigeria and you irrevocably submit to the jurisdiction of such courts and waive any objection to venue or jurisdiction.
Changes to Terms
JOAC_B ECOSYSTEM LIMITED (RC: 8171752), reserves the right, at its sole discretion, to modify, update, or amend these Terms at any time. By continuing to access or use our Platform, Services, or any related tools after such changes are posted, you are deemed to have accepted and agreed to be bound by the revised Terms.
The date on which the most recent version of these Terms becomes effective will be clearly displayed at the top of this terms page as the “last updated” date. Changes to these terms take effect immediately upon posting, unless otherwise stated.
Any existing bookings, transactions, or arrangements made prior to the effective date of updated Terms shall continue to be governed by the Terms that were in effect at the time the booking or transaction was made, except to the extent that any updated Terms are required by Nigerian law or expressly apply to such bookings.
Severability
If any provision of this Agreement is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction in Nigeria, such provision shall be severed to the extent of the invalidity only and shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.
Relationship of Parties
Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and us.
Electronic Records
These Terms and all related notices, agreements, and communications may be created, executed, delivered, and stored electronically. You agree that such electronic records and signatures shall be legally valid, binding, and admissible as evidence in accordance with Nigerian law.
Entire Agreement
These Terms constitute the entire agreement between you and us concerning our Platform and supersede all prior or contemporaneous agreements, communications, representations, or understandings, whether written or oral.
Waiver
Any failure or delay by us to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.
